Terms of engagement

1. Who these terms are between

These terms are between Ubiqa Ltd (company number 12078905, registered office Suite 45, Brunswick House, Homefield Rise, Orpington, BR6 0RT), "Ubiqa", "I", "me", and you, the person or entity named on the Stripe checkout. You accept these terms when you pay for the Deal Check.

2. What you are buying

A fixed-price independent check on one commercial property, comprising:

The fee starts at £1,250 and depends on the property, the paperwork and how much there is to work through. The exact amount is agreed with you on a short call (at no charge) before any work begins, and is fixed from that point — it covers the scope described here in full, with no hourly billing and nothing added afterwards. Ubiqa Ltd is not VAT registered; no VAT is added and the invoice carries no VAT line.

3. What it is not

The assessment is a house view based on the information available, Ubiqa's experience and its own judgement. It is not a RICS Red Book valuation and expresses no opinion on the open-market value of the property. It is not a building survey, not a structural or environmental survey, and not legal or tax advice. It does not replace your own solicitor, surveyor, or tax adviser. 4. Turnaround

Target delivery is five working days. Time runs from the point Ubiqa holds both your payment and a complete start: the property address and postcode; the paperwork (auction legal pack, or sales particulars and replies to enquiries, or the lease and tenant details if already owned); your intended strategy; and the exit routes you are weighing. If anything is missing the clock pauses and Ubiqa will tell you what is outstanding. Five working days is a target, not a contractual deadline.

5. Confidentiality (both ways)

Ubiqa keeps confidential everything you send, and the fact that you commissioned a check at all. Your paperwork is used only to prepare your assessment, is not shared with any third party, and is returned or destroyed on your written request. In return, the assessment, the model and any findings are confidential to you: they are prepared for your sole benefit and for your proposed purchase or review of the property only, and must not be passed to, or relied on by, any other party without Ubiqa's prior written consent.

6. Liability

6.1 Nothing in these terms limits or excludes Ubiqa's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

6.2 Subject to clause 6.1, Ubiqa's total liability to you arising out of or in connection with the Deal Check, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to £25,000 in aggregate for all claims arising out of or in connection with that Deal Check.

6.3 Ubiqa is not liable for indirect or consequential loss, or for loss of profit, loss of anticipated savings, loss of opportunity, loss of business or loss of goodwill, in each case whether direct or indirect.

6.4 Ubiqa is not liable for any decision you take to bid, offer, exchange, complete, withdraw or not proceed. The Deal Check informs your decision; it does not make it. You remain responsible for your own commercial judgement and for obtaining your own legal, tax, valuation, survey and financing advice.

6.5 The Deal Check does not include, and Ubiqa gives no opinion on: any survey, inspection or condition assessment of physical property; any valuation or appraisal of property or of any interest in property; any construction, engineering or building works; any reserved legal activity under the Legal Services Act 2007; or any investment advice, financial advice or other activity regulated by the Financial Conduct Authority or the Prudential Regulation Authority. Ubiqa is not regulated by RICS and does not provide Red Book valuations.

6.6 The Deal Check is based on the documents and information supplied by you and by third parties. Ubiqa does not independently verify them and is not liable for any error, omission or misstatement in them, or for anything not disclosed to Ubiqa. The Deal Check reflects Ubiqa's assessment as at its date, and Ubiqa is under no obligation to update it.

6.7 Ubiqa gives no guarantee or warranty as to any outcome, return, price, letting, planning consent or transaction result. Nothing in these terms is intended to impose on Ubiqa any liability greater than Ubiqa would have at law in the absence of these terms.

6.8 Ubiqa maintains professional indemnity insurance with Hiscox Insurance Company Limited with a limit of indemnity of £500,000 in the aggregate, including costs, and will maintain cover of at least that amount for the duration of the engagement. Evidence of cover is available on request.

6.9 Any claim must be notified to Ubiqa in writing within 12 months of the date the Deal Check is delivered, and any proceedings must be issued within 12 months of that notification.

6.10 The Deal Check is prepared for your use alone. No other person may rely on it and Ubiqa accepts no liability to any person other than you. It may not be disclosed to any lender, buyer, seller, investor or other third party for the purpose of reliance without Ubiqa's prior written consent.

6.11 These terms, and any dispute or claim arising out of them or out of the Deal Check, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

7. Cancellation and refunds

If you are an individual buying outside your business, you have a statutory right to cancel within 14 days of purchase. By asking Ubiqa to begin before the 14 days expire you agree that: if work has started you may be charged for what has been done; and once the assessment has been delivered the right to cancel is lost. If Ubiqa cannot deliver, or you cancel before sending any paperwork, you receive a full refund.

8. Complaints

If something is wrong, email ag@ubiqa.uk with "Complaint" in the subject line. Ubiqa will acknowledge within 5 working days and respond substantively within 10 working days. There is no advertised money-back guarantee; genuine dissatisfaction is handled case by case.
